Terms of Use

These terms govern use of Institute, the software service at samarpan.app (the “Service”). By accessing or using the Service, you agree to them. If you use the Service for an institute, you also confirm you are authorized to bind that institute.

Our Privacy Policy explains how information is handled and is part of this agreement.

The Service helps institutes manage courses, schedules, attendance, students, and fees. Features may change over time. We do not provide teaching, childcare, or payment-collection as a bank or payment gateway. Fee figures in the Service are records the institute creates or approves.

Access is by verified mobile number (one-time password) for members of a specific institute. You must keep your phone and session under your control, and you must not share sign-in codes. You are responsible for activity under your account.

Institute owners and admins decide who is invited as staff. We may suspend access if we reasonably believe these terms, the law, or another user’s safety is at risk.

Records you enter (students, guardians, attendance, charges, payments, and related content) remain the institute’s responsibility. You grant us a limited licence to host and process that data solely to provide and protect the Service.

You represent that you have the right to store and use that information, including any required notices or consent — especially for students under 18 and for sending SMS or WhatsApp notices to the numbers you provide.

You must not:

• Use the Service for anything unlawful, harmful, or deceptive
• Try to access another institute’s data or bypass authentication
• Probe, overload, or disrupt the Service, or reverse engineer it except as allowed by law
• Upload malware or content you do not have the right to use
• Send messages through the Service to people who have not been lawfully contacted by your institute

The Service may send one-time passwords by SMS and, when an institute chooses, class or fee notices by WhatsApp or similar channels. Message delivery depends on third-party networks. Standard carrier or messaging charges may apply to recipients. You are responsible for the content and timing of institute notices and for honouring opt-out or legal messaging rules.

Charges between an institute and its students are solely between them. Recording a payment in the Service does not mean we received or settled that money.

If we charge for the Service itself, fees, taxes, and billing terms will be stated when you subscribe. Unpaid platform fees may lead to suspension.

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, failures of hosting or messaging providers, or events beyond our control may cause downtime. We are not liable for delayed or failed SMS or WhatsApp delivery.

We and our licensors own the Service, including software, design, and trademarks. You may not copy, rent, or create a competing service from it. Feedback you send may be used to improve the Service without obligation to you.

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that records, fee calculations, or notices are complete or suited to your regulatory needs. You remain responsible for your institute’s operations and compliance.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the claim (or ₹5,000 if you paid nothing).

Nothing in these terms limits liability that cannot be limited under applicable law.

You will defend and indemnify us against claims arising from your use of the Service, your institute data, notices you send, or your breach of these terms or of law.

You may stop using the Service at any time. We may suspend or end access if you breach these terms, if required by law, or if we discontinue the Service. On termination, your licence to use the Service ends. Provisions that should survive (including intellectual property, disclaimers, liability limits, and indemnity) remain in effect.

We may update these terms. The “Last updated” date will change when we do. If you continue to use the Service after the change, you accept the new terms. If you do not agree, stop using the Service.

These terms are governed by the laws of India, without regard to conflict-of-law rules. Courts of competent jurisdiction in India will hear disputes, except where applicable law requires otherwise.
